Electronic contract registration system in Iran

 

Introduction:

According to the Budget Law of Iran in 2020, from December 2020, lawyers, consultants and notaries are required to register their contracts with clients or customers in the electronic contract system. In this regard, an (YEKTA) ID is issued to the lawyer, which will be the basis for identifying the lawyer. It is noteworthy that in order to take part in this process, lawyers should have access to Internet, Electronic device (computer, smartphone, etc.) And having a username in Iran Electronic Judicial Services System

Process:

  1. In the first step, lawyers, enter the section of the lawyers’ system, then add their national number and personal password in the automated system. After entering this information, the system will give you a temporary password. After entering the password for the next page, the first page is the automation system (this automation system is a special advocacy system). After entering this page, there is the title of electronic legal contract, which by clicking on it, a main list will be displayed, and the contents must be completed from the list.
  2. First, the profile of the lawyer can be seen on the next page, and you must specify the type of lawyer (normal, mutual, subjugation, donation), after filling in this information, when you want to add another lawyer besides yourself (lawyer) With the option to add, you can add that lawyer to the contract under preparation. Now select the method of intervention of the second lawyer at the top of the page (jointly or collectively). You can then specify the share of each lawyer in the designated attorney’s fee as a percentage.
  1. The next step is to enter the client details (note that there is no space to enter the details and the lawyer must click the Add option at the bottom of the page to enter the client details.)
  2. Now, to enter the client’s details, you must enter the client’s national number and the client’s date of birth. By entering these two items, the client’s information is automatically read from the Sana system, so only clients can be retrieved in this system. They have already registered in the Sana system. After this process, click the orange recovery button to automatically recover the data at this stage. In case of multiple clients, there is an option to add on the next page to enter the details of the next client. Now this client can be a person or a legal entity (public, private). National ID is also required for the second client, it should be noted that for legal entities is a unique ID that after entering this ID and clicking on the legal entity data recovery button will be retrieved. (If the identity of the legal entity is not known, you can easily check the national ID system launched by the Property and Deeds Registration Organization by entering the name of the legal entity and then clicking on the search word. Get the ID of the legal entity, then after finding the ID, enter it and click the Recover button as in the previous steps to automatically recover the information.)
  1. Sometimes the client is the representative (legal-contractual-judicial) of the persons, now instead of the desired person, the details of the representative must be entered in the system. In this case, the representative must be registered in the Sana system to retrieve his information. To enter the representative information, click on the word “add”. To enter the representative information, as mentioned above, enter the national number and date of birth of the person and by clicking on the recovery of personal information, he will enter the system automatically.
  2. In the next step, the party or parties to the dispute must be identified. page displays two options for identifying litigants: Legal entity, Person.
  3. Click on the “Add” option to select each one. If we have only very few details available from the litigation, this situation will not create a problem to register the details, but if we know the date of birth of that person, we can easily retrieve the information of that person. In this step, by clicking on the add option, the number of litigants increased. Now, the second party to the lawsuit may be a legal entity, which if we have the national ID of the legal entity, we can easily retrieve the information of the legal entity, but if we only have the name of the legal entity, that will be sufficient.
  1. Next step is to choose the subject of advocacy. At this stage, by default, there are several advocacy topics that we can delete some of them if we want to (by clicking on the red button next to the topic) or add the desired topics that do not exist by default.
  2. Then, by entering the next stage, you can determine the scope of the lawyer’s authority, in this stage, it is possible to reduce and increase the lawyer’s authority. Note: There are some conditions in favor of lawyers that cannot be removed.
  3. Before completing the steps, you will enter the stage of determining the proxy fee. You must specify how to pay the proxy fee (cash or non-cash). If you select the cash, write the amount of the proxy on the page that can be edited. If the amount of the proxy fee is non-cash (for example, 50 Bahar Azadi coins), enter the equivalent in Rials. You can also add payment terms at this stage.
  1. This contract must be temporarily registered, the contract number is displayed on the page, which must be written down quickly, because in case of forgetting, the process must be started from the beginning. In the step you will see that the gray options have turned green, which means that we can go through the next steps.
  2. We can attach the required documents (such as a power of attorney, etc.), but attaching the documents is not required. Then click on Print Draft to specify the contract form.
  3. Now at this stage we have to enter the electronic signature of the client, lawyer or representative under the electronic contract, if you click the blue button in front of the lawyer’s name, your signature (lawyer) will be inserted. In order for the client or representative to sign, the system sends a one-time password to the party and that person sends that code to you (the lawyer).
  1. The last step: This step is the final approval of the electronic contract. Now, it is enough for the lawyer to finalize the signed contract, until the approval is done, the option of cancellation is active. Finish by pressing the final confirmation key. It should be noted that you can refer to the printing section to print the electronic contract.
